1. Agreement
These Terms of Service and Customer Agreement ("Terms") form an agreement between Atlas Trade AI LLC, a Nevada limited liability company ("Atlas"), and the person or organization accepting them ("Customer" or "you"). They apply to your purchase and use of Atlas websites, applications, automated trading software, algorithms, strategy tools, integrations, account displays, and related functions (the "Services").
You accept these Terms when you affirmatively agree to them at checkout or in the platform, purchase a product, activate an account, connect a brokerage account, or continue using the Services after the Terms are presented to you. If you act for an organization, you confirm that you have authority to bind it. If you do not accept these Terms, you must not purchase or use the Services.
2. Other Applicable Documents and Priority
The following documents form part of these Terms when relevant: the End User License Agreement; Website Legal Notice and General Risk Disclosure; Trading, Automation and Brokerage Risk Disclosure; Margin, Intraday Trading, Short Selling and Settlement Risk Disclosure; Performance, Backtesting, Simulated Results, Reviews and Testimonials Disclosure; Privacy Policy; Cookie and Tracking Technologies Notice; Security Overview; Billing, Subscription and Automatic-Renewal Policy; and Dispute, Cancellation and Refund Policy. Product-specific Options and Agentic AI disclosures, and the terms of an applicable promotion, also apply when the relevant product or offer is made available to you.
Your accepted checkout or signed order controls if it states a different price, billing period, purchased entitlement, or promotional term. A product-specific disclosure governs the risks and activation conditions of that product. These Terms govern other matters unless Atlas signs a later agreement that expressly replaces them.
3. Eligibility and Your Representations
You must be at least 18, capable of entering into a contract, and permitted to use the Services where you live. Connect only a brokerage account that you have authority to control. Your broker decides whether you qualify for particular accounts, instruments, market data, margin, options, or other brokerage services, and you are responsible for meeting those requirements.
You agree to provide accurate account information and to follow applicable laws and your brokerage agreements. You must not use Atlas for fraudulent or manipulative trading, unauthorized account access, sanctions evasion, or another unlawful purpose.
4. What Atlas Provides
Atlas supplies self-directed trading automation for supported third-party brokerage accounts. Available controls may let you select and configure a strategy, set risk parameters, activate or pause automation, and review activity. Once you activate a feature, it may analyze information and send, amend, or cancel instructions to your broker without seeking approval for each trade.
Atlas may make preconfigured, rule-based strategies available with descriptions of their logic and controls. If your purchased access permits, you may also use Oculus to create or deploy a strategy configuration. Atlas does not promise that a configuration you create is accurate, suitable, error-free, or profitable.
Available brokers, account types, strategies, instruments, analytics, AI functions, data, limits, and execution controls depend on the product purchased, technical integration, brokerage approval, jurisdiction, and release stage. The purchase record and account entitlements identify what you have bought; a description of a planned feature does not add that feature to your subscription.
5. Your Control and Trading Authorization
You decide whether to connect an account, which available strategy and settings to use, how much capital to hold at the broker, which risk controls to select, whether to enable margin where offered, and whether to accept a material strategy change. You can use available controls to pause or deactivate automation and can revoke a brokerage connection through Atlas or the broker, subject to system and broker processing.
When you activate automation, you authorize Atlas to generate and transmit the broker instructions required by the strategy and settings you selected, including instructions to place, change, or cancel orders. Atlas does not need separate approval for each order. The authorization is limited by the permissions granted through the brokerage integration and does not allow Atlas to withdraw or transfer your assets.
Positions already in an account when you connect it. Before connecting, review the account and remove or transfer positions you intend to keep. Completing the supported connection is designed to transmit orders to close existing open positions in that account. You authorize those instructions by accepting the separate Existing Positions and Account Connection acknowledgment and completing the connection. A closing order can cause a gain or loss, taxes, spreads, slippage, and brokerage costs. It may be delayed, rejected, or only partly filled. Check the brokerage account after connecting; Atlas cannot guarantee a particular price or completed close.
Positions when a canceled subscription expires. Requesting cancellation stops a future renewal; it does not send closing orders at the time of the request. Your subscription and any active automation ordinarily remain available until the paid period ends. When that period ends and the subscription fully expires, Atlas will send the connected broker orders to close open positions in the connected account that Atlas can identify through the active connection. By accepting these Terms and keeping the account connected through expiration, you authorize those instructions. The broker controls acceptance, routing, and execution. Orders may be delayed, rejected, or partly filled, and a position may remain open. A disconnected or unavailable connection can prevent transmission. Monitor the account and handle any remaining exposure directly with your broker.
You remain responsible for the brokerage account when automation is paused, disconnected, interrupted, or ended. For these Terms, a "Material Strategy Change" is a change that significantly affects the strategy's instruments, entry or exit method, position sizing, expected holding period, leverage or short-selling authority, or risk design. Atlas may make routine maintenance, security, and compatibility updates without a separate acceptance. Before applying a Material Strategy Change to an active strategy, Atlas will provide notice and seek your affirmative agreement. If you decline, Atlas may continue the earlier version where feasible, pause or retire the strategy, or ask you to select another available configuration. An earlier version may not remain supported indefinitely.
6. No Individualized Advice or Guaranteed Result
Unless a separate signed agreement expressly provides otherwise, Atlas does not assess your entire financial situation, objectives, tax circumstances, or ability to bear a loss. Atlas does not select a strategy, security, broker, account, allocation, or risk setting for your individual circumstances. Labels, scores, demonstrations, comparisons, and analytics describe product functions; they do not establish that a strategy suits you.
Purchasing or using the Services alone does not create a fiduciary relationship. Atlas does not promise a profit, a minimum return, superior performance, avoidance of losses, or a particular tax result. This section does not exclude any obligation or remedy that the law does not allow Atlas to exclude.
7. The Separate Brokerage Relationship
Your brokerage relationship is independent of Atlas. Your broker or custodian holds your assets and official account records, approves accounts and products, administers margin, receives and routes orders, handles execution and settlement, and issues statements and confirmations. The broker may restrict activity or liquidate positions under its own agreements.
Atlas does not hold your brokerage assets or have authority to withdraw them. Broker approval, execution quality, routing, clearing, settlement, borrowing availability, margin calculations, corporate actions, tax reporting, and brokerage charges are determined by the relevant third parties. Consult the broker's records if an Atlas display differs from an official brokerage record.
8. Monitoring Your Account
Automation requires active oversight. Review your broker account and notices regularly, protect your credentials, keep your contact details current, and check whether the automation you intended is operating. If you notice an unexpected order, position, connection issue, or data discrepancy, use available Atlas controls where practicable and take any necessary action directly with the broker.
Atlas does not guarantee reimbursement for an incident or trading loss merely because an account was not monitored. Any non-waivable right or remedy under applicable law remains available.
9. Prices, Purchases, and Trading Capital
The standard Atlas Pro subscription costs $99 per month or $999 per year, according to the option selected at checkout, with no separate upfront software license fee. Pro includes core platform access, equities algorithms, and one brokerage account connection. Additional account connections and premium strategies may be purchased separately in the Marketplace. Agentic Trading Technology and Options Trading Technology are planned Marketplace offerings upon release; they are not included in base Pro. The price, duration, and included functions of any Marketplace item are shown before that separate purchase.
Atlas charges pay for software access and purchased functions. They are not deposits into a brokerage account, trading capital, an investment product, custodial funds, or fees based on trading profits. Your broker may separately charge commissions, margin interest, market-data or options fees, regulatory or exchange fees, and other amounts. Taxes may also apply. The commercial terms disclosed for a particular purchase govern that purchase.
10. Recurring Billing
When you select a monthly or annual subscription, you authorize Atlas and its payment processor to charge the payment method you provide at the disclosed price and frequency until the subscription is canceled or otherwise ended. The annual charge pays for a one-year subscription period; it is not a one-time license fee. A separately purchased Marketplace item has the billing terms disclosed for that item.
Before a recurring purchase, Atlas will present its material price, renewal, and cancellation terms and obtain the consent required by applicable law. Atlas will provide a record you can retain and any legally required renewal, promotional-price, or fee-change notice. Online subscribers may cancel online as described in the Billing, Subscription and Automatic-Renewal Policy.
11. Cancellation and Refunds
You may cancel a future Pro renewal at any time using a disclosed cancellation method. The request stops the next renewal, while access ordinarily continues to the end of the period already paid for. It does not itself send an order to close a position. Section 5 explains the closing-order process when the paid period ends and the subscription fully expires.
Pro does not carry a voluntary satisfaction or money-back refund period. Charges already incurred, including separately authorized Marketplace charges, are generally nonrefundable, and unused time is not prorated after cancellation, except where the law or the terms accepted for the specific purchase require otherwise. A refund promise granted with an earlier purchase remains governed by that purchase's terms. The Dispute, Cancellation and Refund Policy explains billing-error and other review processes.
Nothing in Atlas's internal process takes away a non-waivable right to contact a bank, card issuer, payment provider, regulator, law-enforcement agency, or court.
12. Changes, Planned Features, and Releases
Atlas may improve, replace, remove, or suspend functions for security, compatibility, legal, brokerage, or product reasons. Section 5 governs a Material Strategy Change affecting an active strategy. Planned, preview, experimental, or beta features may change or may never be released.
Agentic Trading Technology and Options Trading Technology are intended as separately purchasable Marketplace products if and when available. Their eligibility rules, pricing, brokerage approvals, risk acknowledgments, and other product requirements will be disclosed at that time. Atlas does not guarantee a launch date. Futures and other commodity-interest functionality are not currently offered.
13. Credentials and Account Security
Keep Atlas and brokerage credentials, devices, email accounts, and authentication codes secure. Do not let an unauthorized person operate your account. Tell Atlas promptly about suspected unauthorized use. Atlas may verify identity, restrict access, or disconnect an integration when it reasonably detects a security, fraud, or legal risk.
Where a broker connection uses OAuth, a token, an API key, or another delegated permission, Atlas may use it only to provide the enabled functions and within the permissions the broker or integration supplies. Revocation or restoration may take time during an outage or third-party delay.
14. Data and Displays
Market, account, and analytical information can be late, incomplete, revised, or unavailable. Atlas screens are not a substitute for your broker's official records unless Atlas explicitly states otherwise. You are responsible for any market-data terms that apply to your brokerage status or use.
15. AI and Agentic Functions
Some present or future functions may use AI, machine learning, optimization, or natural-language interfaces. Their outputs can be wrong or unpredictable. Before you activate an agentic function with authority beyond a fixed preconfigured strategy, Atlas will describe its material powers, including whether it may propose or send orders, select instruments, or change parameters without approval of each action. A feature-specific acknowledgment will apply.
You decide whether to activate such a function and remain responsible for monitoring the connected broker account. AI does not guarantee better predictions, returns, or risk control.
16. Unacceptable Use
You must not:
- Decompile, reverse engineer, or try to extract software, strategy implementations, or model weights, except where a restriction is prohibited by law.
- Copy, sublicense, resell, rent, or commercially provide the Services to others without written permission.
- Use Atlas confidential technology or intellectual property to build a competing product.
- Evade security, access, rate, or account controls.
- Harvest data in breach of applicable law or terms.
- Introduce harmful code, disrupt the platform, probe production systems without authorization, or misuse a broker connection.
- Use the Services for manipulation, fraud, sanctions evasion, abusive trading, or another legal or brokerage violation.
- Claim that Atlas output guarantees investment performance or that a nonexistent approval or affiliation exists.
- Access another person's Atlas or brokerage account without authority.
Atlas may investigate suspected misuse and retain or disclose information as reasonably needed to protect users, comply with law, or respond to valid legal process.
17. Intellectual Property
Atlas and its licensors own the Services and their software, interfaces, algorithms, models, documentation, content, and branding, apart from customer-owned and third-party materials. Your use is limited to the license in the End User License Agreement. Buying access does not transfer ownership of Atlas technology.
18. Third-Party Services
Brokerages, payment processors, market-data suppliers, integration providers, and other external services have their own terms and responsibilities. Atlas is not responsible for their independent conduct, subject to any duty that applicable law places on Atlas and does not permit it to exclude.
19. Suspension and Ending Access
Atlas may suspend or end access for a material breach, nonpayment, misuse, a security or legal risk, loss of required brokerage permission, or a third-party or legal change that makes continued service impracticable. Atlas will give notice where reasonably feasible and consistent with security and law.
When a customer-requested cancellation reaches the end of its paid period, the closing-order process in Section 5 applies. Other suspensions, payment failures, disconnections, or terminations do not guarantee that positions will be closed or open broker orders canceled. You remain responsible for the account and must verify its status with the broker.
20. Service Disclaimers
To the extent the law permits, Atlas provides the Services as available, without an implied promise of merchantability, fitness for a particular purpose, title, or noninfringement. Atlas does not promise uninterrupted or error-free operation, protection from every security event, compatibility with every brokerage change, or a trading result that meets your expectations. A statutory warranty or remedy that cannot be excluded remains in effect.
21. Limits on Liability
To the extent permitted by law, Atlas is not liable for indirect, incidental, special, exemplary, punitive, or consequential losses, including lost profits, opportunities, data, or business interruption, even if Atlas was told such a loss might occur. Market movements, margin liquidations, slippage, missed trades, and third-party execution outcomes involve trading and brokerage risks, except where liability for Atlas's own conduct cannot legally be limited.
Atlas's total contractual liability for the affected Services will not exceed the amount you paid Atlas for those Services in the 12 months preceding the event giving rise to the claim. This limit does not apply to fraud, willful misconduct, gross negligence where it cannot lawfully be limited, or any other liability that the law does not allow Atlas to limit.
22. Indemnity
To the extent permitted by law, you will defend and indemnify Atlas and its officers, employees, and affiliates against third-party claims caused by your unlawful use, breach of these Terms, unauthorized use of another person's account, or instructions or content you supply that infringe another person's rights. You are not responsible under this section for Atlas's own fraud, willful misconduct, or liability that cannot lawfully be shifted to you.
23. Disputes and Arbitration
Before starting arbitration or a civil action, each party will give the other written notice of the dispute and the relief sought, then try in good faith to resolve it for 30 days. Notices to Atlas may be sent to [email protected] and Atlas Trade AI LLC, 297 Kingsbury Grade Rd, Suite 100, Stateline, NV 89449. This informal step does not block urgent injunctive relief, an eligible small-claims filing, a regulatory complaint, a chargeback, or another right that cannot lawfully depend on an internal process.
If a dispute remains unresolved, it will be handled through individual binding arbitration under the Federal Arbitration Act and the AAA Consumer Arbitration Rules, except for eligible small-claims matters and urgent requests for injunctive relief involving intellectual property, account security, or unauthorized access, and except where applicable law makes arbitration unenforceable. The hearing may occur by video, telephone, or at a reasonably convenient location. The applicable consumer rules govern fees.
To the extent the law allows, you and Atlas waive a jury trial and participation in a class, collective, or representative proceeding.
You may opt out of the arbitration agreement by notifying Atlas at the email or postal address above within 30 days after first accepting these Terms. Identify your Atlas account and state that you opt out of arbitration. The rest of these Terms remains effective if you opt out.
24. Governing Law
Nevada law governs these Terms without applying its conflict-of-laws rules, except where federal law or a non-waivable rule provides otherwise. A dispute that is not arbitrated may be brought in a state or federal court with jurisdiction over Atlas's principal Nevada location, unless consumer law requires another forum.
25. Updates to These Terms
Atlas may update these Terms for the future and will give notice of a material change as required by law. Where a change legally requires your new affirmative agreement, it will not apply until that agreement is obtained. An update does not erase an accrued claim, a completed purchase term, or a refund right already granted under an earlier order.
26. Other Terms
If a provision cannot be enforced, the remainder continues to apply unless that would defeat the agreement's essential purpose. A failure to enforce a provision is not a waiver. You may not assign your rights or obligations without Atlas's consent except where law permits; Atlas may assign this agreement as part of a merger, financing, reorganization, or sale of relevant assets, subject to law.
Electronic signatures and records may be used where lawful. Atlas is not responsible for delay or failure caused by circumstances beyond its reasonable control, such as market closures, broker or API outages, internet or cloud failures, cyber incidents, labor disputes, government action, or natural disasters, except where law provides otherwise.
These Terms, the incorporated documents, and your applicable order constitute the agreement for the Services. Headings do not change their meaning. Obligations that should reasonably continue after access ends will survive, including accrued payment duties, intellectual property rights, usage restrictions, disclaimers, liability limits, indemnity, and dispute provisions.
